Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Canaryly iOS application, the official Canaryly website, software updates, and related support services (collectively, the "Services").

These Terms are between you and 深圳轻海网络科技有限公司 (Shenzhen Qinghai Network Technology Co., Ltd., the English business name we use internationally), a company established in the People's Republic of China ("Canaryly," "we," "us," or "our"). Our business address is Room 537, Building 51, No. 5 Qiongyu Road, Nanshan District, Shenzhen, Guangdong, China.

By downloading, installing, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services. If you use the Services for a company or another organization, you confirm that you have authority to accept these Terms on its behalf.

Eligibility

You must be legally capable of entering into these Terms. If you have not reached the age at which you may enter into a binding agreement where you live, a parent, guardian, or other authorized representative must review and accept these Terms on your behalf and supervise your use of the Services.

You must also satisfy any age, account, and eligibility requirements imposed by the third-party AI service provider you choose to use with Canaryly.

License to Use Canaryly

Subject to these Terms and any applicable platform usage rules, we grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to install and use Canaryly on devices you own or control for personal or internal business purposes.

Canaryly is licensed, not sold. These Terms give you permission to use the app but do not transfer ownership of Canaryly, its source code, branding, design, or other intellectual property. All rights not expressly granted are reserved by us and our licensors.

Free Access and Third-Party Charges

Canaryly is currently provided free of charge. We may introduce optional paid features or services in the future. If we do, the applicable price and any additional terms will be disclosed before you make a purchase. We will not charge you retroactively merely because a previously free version or feature later becomes paid.

Canaryly requires you to configure a supported third-party AI service. Those providers may charge for API access, model usage, network traffic, subscriptions, taxes, or other costs. You are solely responsible for charges associated with your provider account, API key, device, internet connection, and mobile carrier. Canaryly does not collect or pay those charges on your behalf.

Third-Party AI Services

Canaryly lets you connect to supported third-party AI service providers using credentials you configure. Translation requests are sent directly from your device to the provider you select. Canaryly does not operate those providers or control their models, servers, availability, prices, usage limits, security practices, or handling of information.

Your use of a third-party AI service is governed by the agreement between you and that provider, including its terms, acceptable-use rules, pricing, and privacy notices. You are responsible for maintaining any required provider account, using only credentials you are authorized to use, keeping those credentials secure, and complying with the provider's requirements.

References to or compatibility with a provider, model, or brand do not mean that the provider sponsors, endorses, or is affiliated with Canaryly. A provider may change or discontinue an API or model at any time, which may temporarily or permanently affect a Canaryly feature.

Your Content and Translation Results

You retain any rights you have in the text, instructions, and other content you submit through Canaryly. You instruct Canaryly to transmit that content to the third-party AI service you select so that the provider can process your request. You must have all rights and permissions necessary to submit that content and authorize this processing.

Canaryly does not claim ownership of translation results returned by a third-party AI service. Whether and how you may use a result can depend on applicable law, the rights in the source material, and the terms of the provider that generated it. You are responsible for reviewing those requirements before using, publishing, or distributing a result.

Do not submit identity documents, financial information, medical information, passwords, trade secrets, or other sensitive information unless it is necessary, lawful, and appropriate to send that information to your selected provider. You are responsible for obtaining any consent required before submitting another person's information.

Translation and AI Limitations

Translation results are generated by third-party AI models and may be inaccurate, incomplete, outdated, misleading, unsuitable, or offensive. Results may omit context, alter meaning, or vary between requests. Canaryly does not verify or guarantee the accuracy, reliability, completeness, legality, or fitness of any result.

Canaryly is not a certified translation service and does not provide legal, medical, financial, safety, or other professional advice. Do not rely on a translation result as the sole basis for decisions that may affect health, safety, legal rights, finances, employment, immigration, regulatory compliance, or other important interests. You are responsible for reviewing results and, where appropriate, obtaining qualified human or professional verification.

Acceptable Use

You must not, and must not help others to:

  • use the Services unlawfully, fraudulently, or in a way that infringes, misappropriates, or violates another person's rights;
  • submit content you do not have the right to use or transmit;
  • use the Services to distribute malware, facilitate abuse, or harm, disrupt, overload, or compromise any software, device, network, or service;
  • bypass, disable, or interfere with security features, technical protections, usage restrictions, or provider access controls;
  • reverse engineer, decompile, disassemble, derive source code from, or inspect Canaryly's internal implementation, except to the limited extent that non-waivable law expressly permits;
  • copy, modify, distribute, rent, lease, lend, sell, resell, sublicense, or commercially exploit the Canaryly software or provide it as a hosted service, except as these Terms expressly permit; or
  • remove or alter copyright, trademark, attribution, or other proprietary notices.

You must also comply with the acceptable-use rules and other restrictions imposed by your selected third-party AI service.

Privacy

Our Privacy Policy explains how information is handled when you use the Canaryly app and website. Please review it before using the Services. Third-party AI services process information under their own terms and privacy notices.

Intellectual Property

Canaryly, including its software, source code, website, design, documentation, artwork, names, logos, and related materials, is owned by us or our licensors and is protected by copyright, trademark, and other intellectual-property laws. Except for the limited license granted in these Terms, no right, title, or interest in Canaryly is transferred to you.

Updates, Compatibility, and Availability

We may update Canaryly to add, change, or remove features; fix defects; improve security; maintain compatibility; or respond to legal, technical, or product requirements. Updates may be distributed through the platform from which you obtained the app and may be subject to that platform's settings and rules.

We do not promise to develop, release, maintain, or support Canaryly indefinitely or on a particular schedule. We may change or discontinue all or part of the Services for legitimate security, legal, technical, or product reasons. Where reasonably practicable, we will provide notice of a material discontinuation through the app or website.

We do not guarantee compatibility with every device, operating-system version, third-party app, AI provider, model, or network environment. Some features may become unavailable because of changes made by Apple or another third party.

Support

We may provide reasonable support by email, but we do not promise a particular response time or that every issue can be resolved. You are responsible for maintaining your device, network connection, provider account, and API credentials.

Third-Party Materials and Links

The Services may contain links to or interact with third-party websites, services, software, or content. Those third parties operate independently and may be subject to their own terms and privacy notices. We do not control or endorse them and are not responsible for them except to the extent required by applicable law.

Canaryly may include third-party software components governed by separate license notices. Those notices apply to the relevant components and do not expand the license granted to Canaryly as a whole.

Suspension and Termination

You may stop using Canaryly at any time. We may restrict your access to Services we control or terminate the license granted under these Terms if you materially breach these Terms and do not cure the breach after reasonable notice, when a cure is appropriate. We may act immediately where reasonably necessary to address unlawful conduct, fraud, abuse, or a material security risk.

When your license terminates, you must stop using Canaryly and remove copies in your possession or control. Provisions that by their nature should survive termination, including ownership, restrictions, disclaimers, liability limits, and dispute provisions, will survive.

Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Services are provided "as is" and "as available." We do not guarantee that the Services or any translation result will be accurate, complete, reliable, uninterrupted, error-free, secure, compatible with every system, or suitable for a particular purpose. We disclaim implied warranties to the extent they may lawfully be disclaimed. This section does not exclude any statutory warranty or guarantee that cannot lawfully be excluded.

Limitation of Liability

To the maximum extent permitted by applicable law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, business, opportunity, goodwill, data, content, or API credits, arising from or related to the Services, translation results, third-party AI services, or these Terms.

To the maximum extent permitted by applicable law, our total aggregate liability arising from or related to the Services or these Terms will not exceed the amount, if any, that you paid directly to us for Canaryly during the 12 months before the event giving rise to the claim.

These limitations do not apply to liability that cannot lawfully be limited or excluded, including where applicable liability for fraud, willful misconduct, gross negligence, death or personal injury, or breach of non-waivable consumer rights.

Consumer Rights

Nothing in these Terms limits rights or remedies that applicable consumer law does not permit you to waive. If a provision of these Terms conflicts with a mandatory law that applies to you, that mandatory law controls to the extent of the conflict, and the remaining provisions continue to apply.

Resolving Disputes and Applicable Law

Before starting formal proceedings, you and Canaryly agree to make a reasonable, good-faith effort to resolve the dispute informally by contacting the other party and describing the issue and requested resolution. This does not prevent either party from seeking urgent relief where necessary.

The law governing these Terms and the courts or other forums having jurisdiction over a dispute will be determined under applicable law. Nothing in these Terms deprives a consumer of the protection of mandatory laws or access to a court or forum that cannot lawfully be excluded by agreement.

General Terms

These Terms form the agreement between you and us concerning the Services. The terms of a third-party platform or AI provider may separately govern your relationship with that third party but do not change these Terms between you and us.

If any provision is found invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain effective. A failure to enforce a provision is not a waiver of it.

You may not assign or transfer your rights under these Terms without our written permission. We may assign these Terms as part of a merger, reorganization, sale of assets, or transfer of the Canaryly business, subject to applicable law.

Changes to These Terms

We may update these Terms prospectively when Canaryly, our business practices, or applicable requirements change. We will publish the revised Terms on this page and update the date above. If a change is material, we may also provide notice through the app, website, or another appropriate channel.

Changes to these Terms will not create retroactive charges. By continuing to use the Services after revised Terms become effective, you agree to the revised Terms. If you do not agree, you must stop using the Services.
